Anthropic Commits 5% Of Its Shares To A Public Benefit Fund

Anthropic said on October 18 that it will commit 5% of its shares to a new Anthropic Public Benefit Fund, a wholly owned entity the company says will give it “increased flexibility and scale” to support projects for societal good. The commitment is subject to stockholder approval.

The fund is designed to grow with the company. Beyond the initial 5%, Anthropic said an additional 2% could be added at the board’s discretion for every 50% increase in the company’s value above a set baseline, so the share dedicated to the public good rises as Anthropic itself grows.

Anthropic Public Benefit Fund: How The 5% Commitment Works

Anthropic is establishing the fund as a wholly-owned LLC, rather than as a 501(c)(3) nonprofit or another format. The company said that structure gives it adjustability between different forms of giving, from large donations to traditional nonprofits to direct distributions to specific populations.

One limit is explicit. None of the Anthropic equity held by the LLC will be used for lobbying or political giving, in the United States or abroad. Anthropic said it will share more about the fund’s structure and governance in the coming months, including the valuation milestones that may add to its stake, and will report on its progress in an upcoming public benefit report.

The announcement builds on earlier pledges inside the company. Anthropic said its co-founders pledged at founding to donate 80% of their equity holdings, and that about half of its employees take part in an equity donation match programme. Combined with the new fund, roughly 20% of Anthropic shares will now be dedicated to the public good, plus any additional percentage added if valuation milestones are reached. Our explainer on what Anthropic is sets out how that public benefit structure has shaped the company since 2021.

Anthropic Public Benefit Fund And The Labour Market: The $200 Million Starting Point

Labour market impact is the example Anthropic put first. The company said AI may generate enormous economic value, but could also cause instability for many workers, and noted it has already committed $200 million to studying and addressing that issue.

“Given the pace of AI progress, bolder approaches may be needed. The Fund will have the versatility to pursue them,” Anthropic said. That framing connects directly to the company’s own workforce data, covered in our report on Anthropic’s junior technical hires falling from 27% to 9%, where agents were logging six hours for every human hour by August 2026.

Anthropic contrasted its approach with a familiar technology industry pattern. It is common practice, the company said, for tech companies to offer escalating compensation awards to their executives. Anthropic said it is instead directing that equity to the public benefit. The economics behind that choice are set out in our explainer on how Anthropic makes money from Claude subscriptions, its API and enterprise deals.

What Anthropic Has Not Said Yet: Governance And Decision-Making

For now, the biggest open questions are about control. Anthropic has not named who will decide which projects the fund supports, how recipients will be chosen, or when the first distributions will be made. TechCrunch noted the same gap in its October 18 report, saying the company promised more information about structure and governance in the coming months.

The context Anthropic itself gave is trust. TechCrunch reported that chief executive Dario Amodei has described increasingly negative public sentiment toward the AI industry as “fundamentally a crisis of trust.” A fund that grows automatically with company value is, in part, an attempt to answer that concern with a mechanism rather than a one-off donation.

Why It Matters

The central entity is the Anthropic Public Benefit Fund, and its defining attribute is that it is equity, not cash: its value moves with Anthropic’s own valuation, and its share can rise by a further 2% for every 50% increase in that value. That connects Anthropic to its neighbours in a new way — workers exposed to AI-driven job change, nonprofits that could receive large donations, and populations that could receive direct distributions all gain a claim, however undefined today, on the lab’s future growth. For rival labs, the fund sets a visible benchmark for how a frontier company shares gains, at a moment when Anthropic is also publishing evidence that its own hiring is changing fastest where Claude is used most.

Background

Anthropic was founded in 2021 by former OpenAI researchers, including Dario and Daniela Amodei, as a public benefit corporation built around AI safety, and it grew into a leading frontier lab on the strength of its Claude model family, its API business and its coding tools. That legal form has always sat alongside commercial growth: the company houses safety research, biomedical work and discounts for nonprofits inside the company itself, and the new fund extends the same idea outward, into giving that does not need a direct product or research link to justify it.
